Terms of Service

1. Acceptance of Terms
By accessing or using the Cartly platform ("Service"), including any associated websites, APIs, and applications operated by Cartly Inc. ("Cartly," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Cartly Inc.
We may update these Terms from time to time. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. We will notify you of material changes at least 30 days in advance via email or an in-platform notice.
2. Description of Service
Cartly is a hosted e-commerce platform that enables merchants to create, manage, and operate online stores. The Service includes:
- Store creation and customization with visual page builder and theme engine
- Product catalog management with variants, collections, and inventory tracking
- Secure checkout and payment processing via Stripe integration
- Order management, fulfillment tracking, and returns processing
- Customer account management, wishlists, and email marketing tools
- GraphQL Storefront API and OAuth-based App Marketplace
- Analytics, SEO tools, blog, and content management features
- Shipping rate calculation, discount engine, and tax configuration
Cartly reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Account Registration
To use the Service, you must register for an account. By registering, you represent and warrant that:
- You are at least 18 years of age or the age of legal majority in your jurisdiction
- All registration information you provide is truthful, accurate, and complete
- You will maintain the accuracy of such information and update it promptly if it changes
- You have the legal capacity and authority to enter into these Terms
- You will maintain the confidentiality of your account credentials and are responsible for all activities under your account
You must notify us immediately at security@cartly.pro if you suspect unauthorized access to your account. Cartly is not liable for any loss resulting from unauthorized use of your account.
4. Merchant Obligations
As a merchant using Cartly, you agree to:
- Comply with all applicable local, state, national, and international laws and regulations
- Obtain and maintain all licenses and permits required to operate your business
- Accurately represent your products and services, including pricing, descriptions, and availability
- Fulfill orders in a timely manner and provide accurate shipping and tracking information
- Handle customer data in accordance with applicable privacy laws (GDPR, CCPA, etc.)
- Respond to customer inquiries and complaints in a professional and timely manner
- Not engage in deceptive, misleading, or fraudulent business practices
- Maintain a clearly accessible refund and return policy on your store
5. Prohibited Content
You may not use Cartly to sell, distribute, or promote the following:
- Weapons and ammunition: Firearms, explosives, knives designed as weapons, and related accessories
- Controlled substances: Illegal drugs, drug paraphernalia, and unregulated pharmaceuticals
- Counterfeit goods: Fake or unauthorized reproductions of branded products
- Adult content: Pornographic or sexually explicit materials
- Hate speech and harassment: Content promoting discrimination, violence, or hatred against individuals or groups
- Stolen property: Goods known or suspected to be stolen
- Regulated financial products: Unregistered securities, cryptocurrency tokens, or pyramid schemes
- Tobacco and vaping products: Cigarettes, e-cigarettes, vape liquids, and related items
- Hazardous materials: Items that pose a risk to health or safety in shipping or use
Cartly reserves the right to remove any content and suspend or terminate accounts that violate these restrictions without prior notice.
6. Payments and Billing
Cartly processes all subscription payments through Stripe. By subscribing to a plan, you authorize Cartly to charge your payment method on a recurring basis.
Subscription Plans (all with 0% transaction fees):
- Free: $0/month — 25 products, 1 staff account, basic storefront
- Starter: $29/month — 100 products, 3 staff accounts, 50K AI translation chars/mo
- Growth: $79/month — 500 products, 5 staff accounts, 250K AI translation chars/mo
- Pro: $299/month — Unlimited products, 15 staff, 1M AI translation chars/mo
- Enterprise: $999/month — Unlimited everything, dedicated cell, custom SLA
All fees are billed in USD. Subscription fees are charged at the beginning of each billing cycle and are non-refundable except as required by applicable law. All plans include 0% transaction fees — you keep 100% of your sales revenue. You may upgrade or downgrade your plan at any time; changes are prorated for the current billing period.
If payment fails, we will attempt to charge your payment method up to 3 times over 14 days. If all attempts fail, your store will be placed in read-only mode until payment is resolved. No data will be deleted during this period.
7. Intellectual Property
The Cartly platform, including its software, design, logos, documentation, and all related intellectual property, is owned by Cartly Inc. and protected by copyright, trademark, and other intellectual property laws.
You retain full ownership of all content you upload to the Service, including product images, descriptions, blog posts, and store branding. By uploading content, you grant Cartly a non-exclusive, worldwide license to host, display, and distribute your content solely for the purpose of operating the Service.
You may not copy, modify, reverse-engineer, or create derivative works of any part of the Cartly platform without prior written consent.
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information and your customers' data.
You are the data controller for your customers' personal data. Cartly acts as a data processor on your behalf. You are responsible for ensuring your use of customer data complies with applicable privacy laws, including obtaining necessary consents.
For merchants processing EU customer data, our Data Processing Agreement applies.
9. Service Level
Cartly commits to a 99.9% uptime guarantee for the Service, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be announced at least 48 hours in advance and will be performed during off-peak hours when possible.
In the event of downtime exceeding this guarantee, eligible merchants may request service credits as described in our Service Level Agreement.
Our infrastructure is designed with redundancy and automatic failover. The Temporal-powered checkout system ensures zero lost orders even during partial outages.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARTLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
CARTLY'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO CARTLY IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Termination
You may terminate your account at any time by contacting support or through your account settings. Upon termination:
- You will have 30 days to export your data (products, orders, customers) in standard formats (CSV, JSON)
- After the 30-day export period, your data will be permanently deleted from our active systems
- Backups containing your data will be purged within 90 days of termination
- Any remaining subscription balance for the current billing period is non-refundable
- Financial records will be retained for 7 years as required by law
Cartly may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide notice and an opportunity to cure non-critical violations when feasible.
12. Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
The arbitration shall take place in Wilmington, Delaware. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction for the protection of intellectual property rights.
13. Changes to Terms
Cartly reserves the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes via:
- Email notification to the address associated with your account
- A prominent notice within the Cartly admin dashboard
- An update to the "Last Updated" date at the top of this page
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and terminate your account before the changes take effect.
